1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern access to and use of the Lumintia Labs website, the submission of inquiries and samples, the request for analytical testing services, the issuance of reports or certificates of analysis, and any related services provided by Lumintia Labs (“Lumintia,” “we,” “us,” or “our”). By using the website, submitting a form, requesting services, shipping a sample, or otherwise engaging Lumintia Labs, you agree to these Terms.
2. Business Information
Lumintia Labs is operated by Lumintia Labs LLC. Lumintia currently provides website and customer support contact by email at support@lumintialabs.com and does not publicly list a business or mailing address on the website. Unless otherwise stated in a separately signed service agreement, these Terms are governed by the laws of the State of New Jersey.
3. Scope of Services
Lumintia Labs provides independent analytical and documentation services that may include sample intake coordination, HPLC testing, LC-MS testing, identity verification, purity analysis, batch documentation review, certificate issuance, and related reporting. Service descriptions on the website are informational only and do not guarantee that every test panel or method is available for every material. Lumintia may decline any submission that is unsafe, unlawful, mislabeled, unstable, outside its operational scope, or otherwise unsuitable for analysis.
4. No Clinical, Medical, or Diagnostic Use
Lumintia Labs provides services strictly for research, analytical, informational, and quality documentation purposes. Services, reports, and certificates are not intended to diagnose, treat, cure, mitigate, monitor, or prevent disease, and are not provided for clinical decision-making, patient management, therapeutic use, or human consumption. Customers may not represent Lumintia’s services or reports as medical advice, product approval, regulatory clearance, or fitness for human use.
5. Quotes, Orders, and Contract Formation
A request for information, a website inquiry, a quote request, or a sample submission form does not by itself create a binding obligation for Lumintia to perform services. A service engagement is formed only when Lumintia accepts the request in writing, issues an invoice or payment request that is satisfied, confirms sample intake, or otherwise expressly agrees to perform the requested services. Lumintia may refuse any order or discontinue intake at its discretion before acceptance.
6. Customer Responsibilities
The customer is responsible for providing accurate and complete information regarding the submitted material, including the material name, expected identity, quantity, concentration if applicable, hazards, storage requirements, handling needs, known instability, chain-of-custody needs, shipping details, billing details, and any requested testing panel. The customer represents that it has lawful authority to possess, ship, and request testing of the submitted material and that the material has been packaged and labeled in compliance with applicable law.
7. Hazardous or Restricted Materials
The customer must disclose in advance any hazardous, toxic, corrosive, reactive, infectious, controlled, temperature-sensitive, or otherwise regulated characteristics of any material. Lumintia may refuse, isolate, destroy, or return any material that presents a safety, legal, environmental, or operational risk. The customer remains responsible for all losses, costs, delays, liabilities, and damages arising from nondisclosure, mislabeling, improper packaging, illegal shipment, or unsafe condition of the material.
8. Shipping and Sample Delivery
Unless otherwise agreed in writing, the customer is responsible for arranging shipment to the address designated by Lumintia and for all related shipping charges, packaging compliance, customs documentation, courier selection, and risk of delay or damage in transit. Lumintia is not responsible for courier issues, customs holds, weather disruptions, seizure, misdelivery, delay, or deterioration occurring before documented intake by Lumintia.
9. Sample Acceptance and Rejection
Lumintia may inspect materials upon receipt and may reject or suspend processing of any submission that is damaged, leaking, unlabeled, mislabeled, contaminated, degraded, unsafe, insufficient in quantity, not as described, prohibited by law, or submitted without required payment or documentation. If a sample is rejected, Lumintia may contact the customer with available options, which may include disposal, return at the customer’s expense where lawful, or resubmission.
10. Sample Consumption, Retention, and Disposal
Analytical testing may consume, alter, open, dilute, destroy, or otherwise change the submitted material. Unless a longer retention period is required by law or expressly agreed in writing, Lumintia may retain residual material, extracts, and testing remnants for a limited operational period and may then destroy or dispose of them in its discretion. The customer should not assume any portion of a submitted sample will remain recoverable after analysis.
11. Turnaround Times
Any estimated turnaround time displayed on the website, in email, or in a quote is a non-binding estimate only. Actual completion time may vary due to sample condition, instrument availability, method development needs, intake volume, shipping delays, holidays, re-runs, data review, safety concerns, force majeure, or other operational constraints. Delay does not constitute breach unless Lumintia has expressly guaranteed a deadline in writing.
12. Reports, Certificates, and Verification Credentials
When services are completed, Lumintia may issue a report, certificate of analysis, verification record, summary, portal entry, PDF, or other documentation. Access to results may require credentials such as a Test Order ID, Sample Key, secure link, or email delivery. The customer is responsible for safeguarding credentials and controlling who may access results using those credentials. Lumintia may rely on possession of valid credentials as authorization to display corresponding records.
13. Nature and Limits of Results
All findings are limited to the specific sample received, the condition of that sample at intake, the methods actually performed, and the information supplied by the customer. Results are not a guarantee of the composition, safety, legality, suitability, effectiveness, merchantability, or future consistency of any broader lot, batch, product line, or third-party product. Lumintia does not guarantee that another laboratory will reach identical results on a different sample, on a later date, or using a different method, instrument, calibration, or preparation.
14. Customer Use of Reports
Unless Lumintia agrees otherwise in writing, customers may use reports only in full and in their original context. Reports may not be edited, cropped, selectively quoted, altered, reverse-engineered, or presented in a misleading way. Customers may not use Lumintia’s name, logo, report format, accreditation language, or analytical documentation in advertising, medical claims, regulatory claims, or endorsement-style claims that exceed the actual report contents.
15. Payment Terms
Pricing, if and when Lumintia agrees to perform a specific engagement, may vary by material type, testing panel, complexity, sample condition, rush needs, storage requirements, and administrative handling. Unless Lumintia states otherwise in writing, accepted engagements are payable in advance. Lumintia may decline any requested engagement in its sole discretion. If any invoice becomes overdue, Lumintia may suspend work, withhold results, or charge the maximum lawful late fee permitted by applicable law. The customer is responsible for taxes, chargeback fees, wire fees, collection costs, and government fees not expressly included in quoted pricing.
16. Refunds and Cancellations
Lumintia may accept, decline, cancel, or suspend any requested engagement in its discretion. If Lumintia accepts a prepaid engagement and the customer cancels before sample intake and before analytical work begins, Lumintia may refund the prepaid amount less any non-refundable administrative, intake, banking, payment processing, shipping, or third-party costs already incurred. After sample intake, method preparation, analysis, reporting, or third-party lab work has begun, fees are generally non-refundable. If Lumintia rejects a sample before work begins, Lumintia may, at its discretion, refund any prepaid amount less non-recoverable costs actually incurred.
17. Confidentiality
Lumintia will use commercially reasonable measures to treat non-public customer submissions, reports, and associated information as confidential, except as required to perform services, comply with law, respond to legal process, enforce rights, protect health or safety, or work with service providers operating under confidentiality obligations. Unless the customer elects to publish or share results, Lumintia will not intentionally make customer-specific reports public except as permitted by this section or by the customer’s instructions.
18. Intellectual Property
The website, branding, formatting, copy, report templates, visual design, software components, portal workflows, and related materials are owned by Lumintia or its licensors and are protected by applicable intellectual property laws. Except for the customer’s limited right to use final deliverables for internal business and informational purposes, no license or ownership right is transferred.
19. Website and Portal Availability
Lumintia does not guarantee that the website, forms, verification portal, or document delivery tools will be uninterrupted, error-free, or available at all times. Temporary outages, maintenance windows, security updates, transmission failures, or third-party hosting issues may affect availability. Lumintia may suspend access to protect security, investigate misuse, or perform maintenance.
20. Disclaimer of Warranties
To the fullest extent permitted by law, the website, portal, services, results, reports, and all related materials are provided “as is” and “as available,” without any warranty of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, uninterrupted access, or regulatory suitability.
21. Limitation of Liability
To the fullest extent permitted by law, Lumintia Labs and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for any indirect, incidental, consequential, punitive, special, exemplary, or lost-profit damages, or for loss of data, business interruption, reputational harm, product recall, downstream customer claims, or regulatory exposure arising out of or related to the website, sample submission, services, results, reports, or inability to access them. Lumintia’s aggregate liability for any claim arising from a particular order will not exceed the amount actually paid to Lumintia for that order.
22. Indemnification
The customer will defend, indemnify, and hold harmless Lumintia and its affiliates, personnel, and service providers from and against any third-party claims, liabilities, losses, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of the customer’s materials, shipping, labeling, instructions, misuse of reports, unlawful marketing claims, regulatory violations, or breach of these Terms.
23. Force Majeure
Lumintia is not liable for delay or failure caused by events beyond its reasonable control, including acts of God, severe weather, fire, flood, labor disputes, epidemics, supply shortages, utility interruption, government action, cyber events, courier failures, instrument breakdown, sanctions, or other force majeure events.
24. Governing Law; Venue
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms, the website, or Lumintia’s services shall be brought exclusively in the state or federal courts serving New Jersey, and each party consents to that venue and personal jurisdiction, unless a different forum is required by non-waivable law or stated in a signed service agreement.
25. Changes to Terms
Lumintia may update these Terms from time to time by posting a revised version on its website. The revised version becomes effective on the stated effective date. Continued use of the website or services after an update constitutes acceptance of the revised Terms for future activity.
